The LDC 500 controller package

The drawings, parts list and protocol for the MEY LDC 500 hardware controller are shared under an NDA. Accept it below. Ronald Meij reads every request himself and releases the download personally.

01 · How it works
  1. You fill in your name and e-mail address and accept the NDA.
  2. MEY records your details, IP address and the time of your request.
  3. Ronald Meij checks the request. If he releases it, you get a personal download link by e-mail.
  4. The link is valid for 7 days and works 3 times. Every download is logged.
02 · The NDA

01Parties

MEY Audio Engineering, Zuivelstraat 31, 1445 MJ Purmerend, the Netherlands, owned by and acting through Ronald Meij personally ("MEY").

The person or company named in the request form ("Recipient").

02Purpose and Confidential Information

The purpose is to assess and, if the parties agree, prepare the building of the MEY LDC 500 hardware controller (the "Purpose").

"Confidential Information" is everything MEY makes available to the Recipient that relates to the Purpose, in any form: the MEY LDC 500 plugin, the controller brief, drawings, DXF files, panel layout, 3D models, the handover package, the MIDI and SysEx protocol, firmware specifications, parts choices, brand assets, labels, prices, terms, and everything derived from these, including notes and copies.

03Obligations of the Recipient

The Recipient uses Confidential Information only for the Purpose, keeps it secret with at least reasonable care, shares it only with employees, advisers and subcontractors who need it for the Purpose and who are bound in writing by duties at least as strict as these (the Recipient is liable for what they do), makes no more copies than the Purpose needs, and reports any loss, leak or unauthorised use to MEY immediately.

The Recipient does not build, have built, offer or sell a controller, display, firmware or any other product that uses Confidential Information, except under a signed licence agreement with MEY. The Recipient does not reverse engineer or analyse the files it receives, does not file or support any patent, design, trademark or domain registration that relates to Confidential Information, and does not use Confidential Information to approach MEY's customers, suppliers or partners.

Written consent. Nothing from the files, drawings, documents or data that MEY shares, including everything downloaded through this page, may be shared with a third party or used in any way without the prior written consent of Ronald Meij, given for that specific use. Consent by e-mail from Ronald Meij personally is enough. Consent from anyone else, silence, ongoing talks or earlier practice are not consent.

04Exceptions and compelled disclosure

These duties do not apply to information that the Recipient can show in writing is or becomes public without a breach of this agreement, was lawfully known to the Recipient before MEY shared it, was developed independently without using Confidential Information, or was lawfully received from a third party who was free to share it.

If law, a court or an authority forces the Recipient to disclose Confidential Information, the Recipient tells MEY first, in writing and in time to object, and discloses only what is legally required.

05Ownership, return and destruction

All files, copies and data that MEY shares stay the property of Ronald Meij. This agreement gives the Recipient no licence and no other right to them, apart from reading and using them for the Purpose.

If the parties decide not to work together, and at any other time within 7 days after a written request, the Recipient destroys all Confidential Information, including copies and backups, and confirms this in writing.

06Term, penalty and remedies

This agreement starts when the Recipient accepts it and also covers everything disclosed before. The duties run for 5 years after the end of the talks or after the last disclosure, whichever is later. For source code, designs and trade secrets they run as long as the information stays secret.

For each breach the Recipient forfeits a penalty of EUR 25,000, plus EUR 1,000 for each day the breach continues, due immediately and without notice of default. The penalty is a minimum: MEY can claim full compensation for damage above it, with the penalty set against it. MEY may also demand an immediate stop of the breach, through summary proceedings if needed.

07Logging, law and courts

By accepting, the Recipient confirms that MEY records the e-mail address, name, IP address, time and browser details of the request and of every download, as evidence of this acceptance and of what was shared.

Dutch law applies. Disputes go to the competent court in the district of Noord-Holland. The Vienna Sales Convention does not apply.
